Begin with scope and ownership. Contracts should explicitly assign IP rights to the client for deliverables, including design files, components, and research outputs. Vague language or agency-standard licenses can leave ambiguity about who owns what, complicating future acquisitions or spin-outs.

Confidentiality and data handling need attention too. Subscription teams often work across multiple clients, so NDAs, data segregation, and secure asset repositories should be part of the engagement. Define how proprietary roadmaps, user data, and beta features are stored and who has access to them.

Finally, include termination and transition clauses. A robust exit plan with knowledge transfer, design system handoff, and access to source files ensures continuity if the relationship ends. These legal safeguards reduce operational risk and make outsourcing a safer long-term strategy.
